Terms and Conditions

1. Agreement

These Terms and Conditions (the “Terms”) govern your use of the Website and Service. These Terms constitute a legally binding agreement between you and invested.io LLC, an Oregon limited liability company, and any corporate successor to invested.io LLC. By accessing or using the Website or Service in any manner, even if you do not create an account, you acknowledge that you have read and understood these Terms and agree to be legally bound by them.

You represent and warrant that you are at least 18 years of age and of legal competence to enter into this agreement. If you are using the Website or Service on behalf of a company, fund, or other entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity, and the term “you” shall refer to that entity.

When you register for an account, you will be prompted to indicate your acceptance of these Terms and our Privacy Policy, which further confirms your agreement to be legally bound by them.

2. Definitions

The following definitions apply throughout these Terms:

• “AI Features” means any functionality within the Service that uses artificial intelligence, machine learning, or large language models (LLMs) to analyze data, generate insights, compute metrics, or produce content.
• “AI-Generated Content” means any output, analysis, insight, metric computation, summary, or recommendation produced in whole or in part by AI Features.
• “Customer Data” means all data, information, and content that you provide, upload, connect, or make available to the Service, whether directly or through Third-Party Integrations.
• “Investor” or “Investor User” means a user who accesses the Service to view portfolio company metrics, dashboards, and related data shared by one or more Operators.
• “Operator” or “Operator User” means a user who accesses the Service to connect data sources, input company information, and generate metrics and dashboards for their company.
• “Service” means the invested.io software-as-a-service platform, including all features, tools, dashboards, integrations, and AI Features made available through the Website or related applications.
• “Third-Party Integrations” means connections between the Service and third-party software, tools, or services, including but not limited to accounting software (e.g., QuickBooks, Xero), CRM systems (e.g., HubSpot, Salesforce), banking and financial services (e.g., via Plaid), HRIS platforms, billing software (e.g., Stripe), and cap table management tools (e.g., Carta, Pulley).

3. Account Registration and User Types

3.1 Account Registration

To use certain features of the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.2 Operator Users

Operator Users access the Service to connect company data sources, input business information, and generate financial and operational metrics. Operators are solely responsible for the accuracy, completeness, and legality of all Customer Data they provide or connect to the Service. Operators control which Investor Users, if any, may access their data through the Service.

3.3 Investor Users

Investor Users access the Service to view metrics, dashboards, and analysis related to portfolio companies whose Operators have granted them access. Investors acknowledge that all data viewed through the Service is unaudited, unverified by invested.io, and subject to the disclaimers set forth in these Terms. Investors agree to treat all data accessed through the Service as confidential and to use it only for their own internal investment management and evaluation purposes.

4. License Grant and Access Rights

Subject to your compliance with these Terms and payment of any applicable fees, invested.io grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the term of your subscription or account. This license does not include any right to resell, redistribute, or make the Service available to any third party, except as expressly permitted through the Service’s sharing features (e.g., an Operator granting Investor access).

5. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

1. use the Service in any way that violates applicable law or regulation;
2. use the Service to engage in fraud, deception, or misrepresentation;
3. attempt to gain unauthorized access to any part of the Service or its related systems;
4. interfere with or disrupt the integrity or performance of the Service;
5. use any automated means, including robots, spiders, or scrapers, to access the Service other than through approved API integrations;
6. reverse engineer, decompile, or disassemble any aspect of the Service;
7. use the Service or data obtained through the Service for competitive analysis or to develop a competing product; or
8. share, resell, or redistribute data obtained through the Service to any third party not authorized to access it through the Service.

6. Subscription, Payment, and Billing

Certain features of the Service may require a paid subscription. Subscription terms, fees, and billing cycles will be presented to you at the time of purchase and are incorporated into these Terms by reference. All fees are stated in U.S. dollars and are non-refundable except as expressly set forth herein or as required by applicable law.

If your subscription includes automatic renewal, the renewal terms will be clearly disclosed before your initial purchase, and your affirmative consent will be obtained. You will receive a confirmation of your subscription with instructions on how to cancel. You may cancel your subscription at any time in accordance with the cancellation procedures provided in your account settings or by contacting us at legal@invested.io.

7. Customer Data and Data Ownership

As between you and invested.io, you retain all right, title, and interest in your Customer Data. By using the Service, you grant invested.io a limited, non-exclusive, worldwide license to use, process, store, and display your Customer Data solely for the purpose of providing, maintaining, and improving the Service and as described in our Privacy Policy.

invested.io may generate aggregated, de-identified, or anonymized data derived from your use of the Service (“Benchmark Data”). Benchmark Data does not identify you or any individual, and invested.io retains all right, title, and interest in Benchmark Data. Benchmark Data may be used for industry analysis, benchmarking, product improvement, and similar purposes.

8. Privacy and Data Protection

Your provision of personal information and our use of such information is governed by our Privacy Policy. Please review the Privacy Policy carefully. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

9. Third-Party Integrations

The Service allows you to connect and integrate with Third-Party Integrations. When you connect a Third-Party Integration, you authorize invested.io to access, retrieve, and process data from the connected service in accordance with these Terms and our Privacy Policy. You are solely responsible for ensuring you have the necessary authorization and legal right to connect any third-party account to the Service.

invested.io does not control and is not responsible for the availability, accuracy, completeness, or timeliness of data provided by Third-Party Integrations. Third-party services may experience outages, data sync delays, API changes, or errors that affect the data displayed within the Service. We do not warrant that data retrieved from Third-Party Integrations will be error-free, current, or complete. Your use of Third-Party Integrations is also subject to the terms and conditions and privacy policies of those third-party providers.

10. AI Features and Disclaimers

The Service uses artificial intelligence, machine learning, and large language models to analyze data, compute metrics, generate insights, and produce content. By using the Service, you acknowledge and agree to the following:

1. Informational Purposes Only. AI-Generated Content is provided for informational purposes only. It is not intended to and does not constitute financial advice, investment advice, legal advice, tax advice, accounting services, or any form of professional consultation.
2. No Guarantee of Accuracy. AI-Generated Content may contain inaccuracies, errors, or omissions. Large language models may produce outputs that are plausible but incorrect (commonly referred to as “hallucinations”). Such errors are an inherent characteristic of current AI technology and are not a defect in the Service.
3. Human Review Required. You must independently verify all AI-Generated Content before relying on it for any decision, and you should consult with qualified professionals (including accountants, financial advisors, and legal counsel) as appropriate. You agree not to rely on AI-Generated Content as the sole basis for any investment, financial, or business decision.
4. Third-Party AI Providers. The Service may use third-party AI providers to process data and generate content. invested.io does not control the underlying models used by these providers and cannot guarantee their outputs.

No Use of Customer Data for Model Training. invested.io will not use your Customer Data to train general-purpose artificial intelligence or machine learning models. Customer Data may be processed by AI Features solely to provide the Service to you.

11. Financial Data and Investment Disclaimers

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT DISCLAIMERS REGARDING THE NATURE OF THE SERVICE.

1. Not Audited Financials. Financial data, metrics, and analysis displayed through the Service have NOT been audited, reviewed, or compiled by a certified public accountant or independent accounting firm. Such data is derived from user inputs and Third-Party Integrations and may contain errors, omissions, or inaccuracies. Data displayed through the Service should not be used as a substitute for audited financial statements, and should not be relied upon as if it were audited, reviewed, or otherwise independently verified.
2. Not Investment Advice. Nothing in the Service constitutes an offer, solicitation, or recommendation to buy, sell, or hold any security or other financial instrument. invested.io is not a registered broker-dealer, transfer agent, or investment adviser under federal or state securities laws. No fiduciary, advisory, or agency relationship is created between invested.io and any user by virtue of the Service.
3. No Reliance. Operators and Investors are strongly encouraged to independently verify all data, metrics, and analysis provided through the Service. Investment decisions should be based on your own due diligence, professional advice, and independent evaluation of relevant factors — not solely on information provided through the Service.
4. Forward-Looking Information. The Service may display projections, forecasts, or forward-looking metrics (such as runway or growth rates). Such information is inherently uncertain and based on assumptions that may not be realized. Actual results may differ materially from projected results.

12. Data Quality Disclaimers

The quality, accuracy, and completeness of data displayed through the Service depends on multiple factors outside of invested.io’s control, including:

1. Operator Input. Operators are solely responsible for the accuracy and completeness of all Customer Data they input, upload, or connect to the Service. invested.io does not independently verify Customer Data.
2. Third-Party Data Sources. Data retrieved from Third-Party Integrations (including accounting software, CRM systems, banks, HRIS platforms, billing software, and cap table tools) is provided by those third parties and is subject to their own accuracy, completeness, and timeliness. invested.io does not warrant the accuracy of data from third-party sources.
3. Automated Computation. Metrics computed by the Service involve automated calculations, assumptions, categorizations, and in some cases AI processing. Computed metrics may differ from results that would be obtained through independent analysis or auditing. The output quality of the Service depends directly on the quality of the inputs provided.
4. Truthfulness and Transparency. The Service assumes that Operators are providing truthful, accurate, and complete data. invested.io has no obligation to, and does not, verify the truthfulness of data provided by any user.

13. Operator-Specific Provisions

If you are an Operator User, the following additional provisions apply:

1. You represent and warrant that you have all necessary rights, authorizations, and legal authority to provide, connect, and share the Customer Data you make available through the Service, including authority to connect third-party accounts and to share company financial and operational data with Investor Users you designate.
2. You are solely responsible for determining which Investor Users may access your data through the Service and for managing access permissions.
3. You agree to provide accurate, current, and complete data to the Service, and to promptly update any data that becomes inaccurate or incomplete.
4. You acknowledge that inaccurate or incomplete data may result in inaccurate metrics and analysis, and that invested.io shall have no liability for errors or inaccuracies resulting from data you provide.

14. Investor-Specific Provisions

If you are an Investor User, the following additional provisions apply:

1. You acknowledge that all data, metrics, and analysis you access through the Service is unaudited, unverified by invested.io, and provided by or derived from information supplied by Operators and Third-Party Integrations.
2. You agree not to rely solely on data obtained through the Service for any investment decision, and you acknowledge that such data should be supplemented by your own independent due diligence and professional advice.
3. You agree to treat all data accessed through the Service as confidential and to use it only for your own internal investment management and evaluation purposes. You shall not redistribute, publish, or disclose such data to any third party without the prior written consent of the applicable Operator.
4. invested.io is not a party to and has no liability with respect to any relationship, agreement, or dispute between you and any Operator.

15. Intellectual Property

All right, title, and interest in and to the Service, including the Website, all software, algorithms, user interfaces, designs, trademarks, and documentation, are and shall remain the exclusive property of invested.io or its licensors. These Terms do not grant you any ownership interest in the Service, and all rights not expressly granted herein are reserved by invested.io.

You may not use invested.io’s name, logo, or trademarks without our prior written consent. You may not copy, modify, create derivative works from, reverse engineer, or otherwise attempt to extract the source code of the Service.

16. Confidentiality

Both parties acknowledge that, in connection with the Service, they may receive or have access to confidential business, financial, and operational information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to any third party except as necessary to perform obligations under these Terms, as authorized by the disclosing party, or as required by law. The obligations in this section survive termination of these Terms.

17. Disclaimer of Warranties

THE SERVICE, THE WEBSITE, AND ALL INFORMATION, CONTENT, METRICS, ANALYSIS, AND AI-GENERATED CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INVESTED.IO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, OR AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, INVESTED.IO DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) DATA FROM THIRD-PARTY INTEGRATIONS WILL BE ACCURATE, COMPLETE, OR TIMELY; (D) AI-GENERATED CONTENT WILL BE FREE FROM ERRORS, OMISSIONS, OR INACCURACIES; OR (E) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

YOU ACKNOWLEDGE THAT THE ACCURACY OF ALL INFORMATION AND ANALYSIS PROVIDED THROUGH THE SERVICE SHOULD BE INDEPENDENTLY VERIFIED BEFORE RELIANCE.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVESTED.IO, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF INVESTED.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INVESTED.IO’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO INVESTED.IO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this section apply regardless of whether invested.io has been advised of or should have been aware of the possibility of any losses and represent a fundamental element of the basis of the bargain between you and invested.io.

19. Indemnification

You agree to indemnify and hold harmless invested.io, its members, officers, employees, agents, and representatives from and against any and all claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) the accuracy or legality of Customer Data you provide; (e) your infringement or misappropriation of any third party’s rights; or (f) any dispute between an Operator and an Investor related to data shared through the Service.

20. Term and Termination

These Terms are effective when you first access the Website or Service and continue until terminated. You may terminate your account at any time through your account settings or by contacting us at legal@invested.io.

invested.io may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases. Following termination, you will have thirty (30) days to request an export of your Customer Data, after which invested.io may delete your data in accordance with our Privacy Policy and applicable data retention requirements.

Sections that by their nature should survive termination shall survive, including without limitation Sections 7 (Customer Data), 10 (AI Disclaimers), 11 (Financial Disclaimers), 12 (Data Quality), 15 (IP), 16 (Confidentiality), 17 (Warranties), 18 (Liability), 19 (Indemnification), 21 (Dispute Resolution), and 22 (General Provisions).

21. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Portland, Oregon, and shall be conducted by a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

You and invested.io agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against invested.io. If for any reason this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

You have the right to opt out of this arbitration provision by sending written notice to legal@invested.io within thirty (30) days of your first use of the Service. If you opt out, disputes will be resolved in the courts specified in Section 22.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights or confidential information.

22. General Provisions

1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, U.S.A., without regard to its conflict of law principles.
2. Venue. To the extent that any dispute is not subject to arbitration under Section 21, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Multnomah County, Oregon, U.S.A.
3. Modification. invested.io reserves the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days’ notice by email to the address associated with your account or by prominent notice within the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.
4. Severability. If any provision of these Terms is held to be invalid, unenforceable, or illegal, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect.
5. Entire Agreement. These Terms, together with the Privacy Policy and any separate subscription agreement, constitute the entire agreement between you and invested.io with respect to the Service. In the event of any conflict between these Terms and a separate executed agreement, the terms of the separate agreement shall control.
6. Assignment. You may not assign these Terms or any rights or obligations hereunder without invested.io’s prior written consent. invested.io may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Waiver. The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it.

Force Majeure. invested.io shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, power failures, internet or telecommunications failures, third-party service outages, or epidemics.

Notices. All legal notices to invested.io should be sent to legal@invested.io. Notices to you will be sent to the email address associated with your account.
